1. Agreement to Terms

These Terms & Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity, and CELVIX LABS PRIVATE LIMITED (referred to as "Celvix Labs", "we", "us", or "our"), concerning your access to and use of the celvix.in website as well as any other media form, media channel, mobile website or service related, linked, or otherwise connected thereto.

By accessing the site or utilizing our design and development subscription services, you acknowledge that you have read, understood, and agreed to be bound by all of these Terms & Conditions. If you do not agree with all of these terms, then you are expressly prohibited from using the site and our services, and you must discontinue use immediately.

2. Corporate Identity Disclosures

Celvix Labs is a registered corporate entity under the Ministry of Corporate Affairs, Government of India. Below are our official credentials for complete compliance and transparency:

Our operations and financial transactions are fully audited and comply with the applicable provisions of the Companies Act, 2013 in India.

3. Scope of Services & Subscription Terms

Celvix Labs provides premium web design, SaaS product design, custom business tool programming, and no-code development (Framer, Webflow) services.

• Fixed Price, Fixed Scope: All custom design and development sprints are executed under defined scopes with transparent, fixed pricing. There are no hourly surcharges or hidden administration fees.
• Weekly Trial: Clients starting design contracts can opt for a trial week. In case of complete dissatisfaction, contracts can be suspended at the end of the trial period in writing, subject to our explicit refund schedule guidelines.
• Project Kickoffs: Most validated contract sprints kick off within 48 hours of invoice settlement and asset onboarding.

4. Intellectual Property Rights

Unless otherwise indicated, the Site and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the "Content") and the trademarks, service marks, and logos contained therein are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws.

Client Ownership: Upon complete invoice settlement for custom design/development sprints, all custom-crafted Figma assets, Framer sites, Webflow builds, and customized software repositories are transferred fully to the Client's ownership. Celvix Labs retains the limited right to display final mockups in our portfolio and marketing case studies unless explicitly barred under mutual NDA agreements.

5. Limitation of Liability

In no event will Celvix Labs or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the site or our development output, even if we have been advised of the possibility of such damages.

6. Governing Law & Dispute Resolution

These Terms & Conditions and your use of the Site and services are governed by and construed in accordance with the laws of India. Any legal action, disputes, or proceedings arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the competent courts of India.
